Fienta Partner Programme Terms & Conditions

Fienta Ticketing OÜ ("Fienta"), registered under code 12658162, with its principal office at Hobujaama 4, Tallinn 10151, and reachable via email at [email protected].

Participation in the Partner Programme is conditional upon acceptance of these Terms & Conditions.

1. Programme Overview

1.1 The Fienta Partner Programme (the "Programme") enables participants ("Partners") to refer new event organisers ("Leads") to Fienta and earn a referral fee ("Commission") when these Leads become paying users of Fienta's ticketing services.

2. Eligibility Criteria for Partners

2.1 To participate in the Programme and qualify for Commission, a Partner must:

2.1.1 Be at least 18 years old or meet the age of majority in their jurisdiction.

2.1.2 Possess the legal capacity to enter into a commercial relationship as a sole proprietor, partnership, or company.

2.1.3 Be a tax resident of a country where Fienta operates. The full list of supported countries can be found at https://fienta.com/help/organiser-countries.

2.2 Fienta reserves the right to reject any Partner application at its sole discretion, with no obligation to provide a reason for the rejection.

3. Eligibility Criteria for Leads

3.1 Leads must reside in countries where Fienta operates, with the exception of Estonia. The full list of supported countries can be found at https://fienta.com/help/organiser-countries.

3.2 Leads must be entirely new to Fienta, meaning they are not currently engaged with Fienta in any form, including having an existing account, being a current customer, or participating in an ongoing sales process.

3.3 Notwithstanding the above, Fienta reserves the right to reject any Lead at its reasonable discretion. Reasons for rejection may include, but are not limited to, suspected fraud, incomplete or inaccurate information, or potential conflicts of interest.

4. Referral Links & Tracking

4.1 Fienta will issue Partner a unique Partner ID and referral link in format of:

4.2 Partner must use this designated referral link for all referral activities to ensure proper tracking and commission attribution.

4.3 Partner is prohibited from using paid advertisements to direct traffic to the referral link.

5. Cookie Duration

5.1 Cookies used to track referrals will remain active for sixty (60) days.

5.2 If a Lead does not complete the sign-up process within sixty (60) days of clicking the referral link, the Partner will not be eligible for Commission on that Lead.

6. Attribution Rules

6.1 The Programme follows a "last-click" attribution model, whereby the last referral link clicked prior to sign-up receives the referral credit.

6.2 For each Lead, only one Partner is counted as their referrer.

6.3 In case of disputes over attribution, Fienta will review the referral data and make a final determination at its sole discretion.

7. Commission Structure

7.1 Partner will earn a Commission equal to 1% of the sales generated by the referred Leads.

7.2 Partner will earn Commission on each Lead’s sales turnover for a period of twelve (12) months, starting from the Lead’s first sale date.

8. Payment Terms

8.1 Commissions are calculated monthly.

8.2 Commission payments will be issued in the second month following the month in which the sales turnover occurs, to allow time for settling potential refunds and disputes.

8.3 Commission will not be paid on sales orders that are refunded or where a credit card dispute is lost, resulting in the Lead being unable to cover the costs.

8.4 Commission payments are only made when the Commission balance exceeds a threshold of 50 EUR or 50 GBP, depending on the payout currency. If the balance is below this threshold, Commission payments on sales generated by the Leads will be deferred until the threshold is met in a subsequent month.

9. Reporting & Invoicing

9.1 Fienta will issue a monthly Commission earnings report to the Partner.

9.2 If the report shows a balance eligible for payout, the Partner, as a legal entity, must provide a sales invoice to Fienta for the Commission amount. The invoice must:

9.2.1 Be addressed to Fienta's legal contacts, available at https://fienta.com/help/contacts.

9.2.2 Be sent to [email protected].

9.2.3 Include a reference to the Partner ID for identification purposes.

9.2.4 The invoice due date should be at least 10 days after issuance.

10. Commission payments

10.1 Fienta will process Commission payment only after receiving a valid invoice and paid out to bank account provided on invoice.

10.2 Commissions are paid out as direct bank transfers in one of the following currencies:

10.2.1 EUR to SEPA region account (SEPA payment to IBAN).

10.2.2 GBP to UK local bank account (UK local bank payment to UK sort code and account number).

11. Fraud Prevention

11.1 Self-referrals, the creation of fraudulent accounts, and other dishonest practices by the Partner are strictly prohibited.

11.2 Partners must refrain from using spam, misleading advertising, or false claims to promote Fienta.

12. Termination Policy

12.1 Fienta reserves the right to terminate the agreement immediately if the Partner breaches any terms of this agreement or any applicable law.

12.2 Outstanding Commissions earned prior to termination will be paid, unless the Partner has violated the terms of this agreement or applicable law.

13. Programme Modification Rights

13.1 Fienta reserves the right to modify the Programme terms, Commission rates, or any other aspect of the Programme at any time.

13.2 Continued participation in the Programme following any such modification constitutes acceptance of the new terms.

14. Proprietary Rights

14.1 Partners are permitted to use Fienta's trademarks and marketing materials in accordance with Fienta’s provided guidelines.

14.2 Partners may not modify Fienta materials or imply any endorsement without prior written consent from Fienta.

15. Warranties

15.1 Fienta makes no guarantees regarding the potential earnings of Partners through participation in the Programme.

15.2 Fienta will not be liable for any indirect, incidental, or consequential damages arising from participation in the Programme.

16. Confidentiality

16.1 Partners must maintain the confidentiality of any proprietary or sensitive information provided by Fienta.

16.2 Fienta does not share non-public business or personal data of Leads, such as ticket sales volume, usernames, etc.

17. Tax Obligations

17.1 Partners are solely responsible for determining and fulfilling their tax obligations arising from Commissions earned through the Programme.

17.2 Fienta assumes no responsibility for withholding taxes or determining tax obligations on behalf of Partners.

18. Governing Law and Dispute Resolution

18.1 This agreement shall be governed by and construed in accordance with the laws of Estonia. 

18.2 Any disputes arising from or relating to this agreement shall be resolved through binding arbitration, to be conducted in Tallinn, Estonia. The arbitration decision shall be final and binding on both parties, unless otherwise specified by Fienta.

19. Limitation of Liability

19.1 Fienta's total liability to a Partner for any claims arising out of or in connection with this agreement shall be limited to the total Commissions payable to the Partner for the preceding month, except in cases of Fienta's gross negligence or wilful misconduct.
