1. Contracting parties and the object of the contract.
Fienta Ticketing OÜ (Fienta), registry code 12658162, address Pärnu mnt 470B Tallinn 10914 Estonia, email email@example.com, provides the event organiser (the Organiser), registered as a user on https://fienta.com, a service of online sale of electronic tickets.
1.1 Fienta provides the Organiser an online service by which the Organiser is able to sell tickets to its end users to the events held in the Organiser's country of origin (the Service). Fienta provides the Service through Fienta’s online information system (the System), available on the internet at https://fienta.com.
1.2 Description of the Service. The Service includes the development, update, maintenance and hosting of the System, the sale of e-tickets, the electronic delivery of e-tickets via email, bank and credit card payment options, online reporting and helpdesk service to the Organiser.
1.3 Ticket verification service. The Service does not include ticket verification by Fienta at the Organiser's events. Ticket verification on event venue should be organised by the Organiser and the Organiser should acquire necessary internet connection and hardware solution.
1. Obligations of the Organiser.
1.1 By independently entering and managing the events on Fienta’s System, the Organiser shall undertake to provide its customers with accurate and truthful information, including the information on the ticket price, the time and place of the event and the description of the event.
1.2 The Organiser undertakes to accept the tickets sold to end users through Fienta's System.
2. Service fee.
2.1 The fee paid by the Organiser to Fienta is calculated on the price of the tickets sold. The fee is 3.5% of the VAT-inclusive price of the tickets sold, plus VAT if applicable. The minimum fee per order is 0.4 euros, plus VAT if applicable.
3. Payment processing.
3.1 The turnover from the ticket sales is first transferred to the bank account of a payment service provider (at the moment of conclusion of the contract, AS Maksekeskus; however, Fienta shall reserve the right to change the payment service provider without notifying the Organiser). The payment service provider transfers the turnover to Fienta by withholding the payment service provider's fee. Fienta transfers the turnover from the ticket sales of previous month to the Organiser at the beginning of the month, but no later than the fifth working day of the month. When transferring the turnover to the Organiser, Fienta withholds its service fee. Fienta sends the Organiser the corresponding invoice regarding its service fee.
4. Fienta’s logo.
4.1 The Organiser promises to use or display Fienta's trademark/logo in all event-related publications or in any other advertising, related to the ticket sales information.
4.2 Fienta's/logo and its usage is available on Fienta's website.
5. Obligations of Fienta.
5.1 Fienta provides the Organiser the means to organise its ticket sales through Fienta's System and transfers the Organiser its ticket sales turnover as described in paragraph 4 and 5.
5.2 Fienta provides the Organiser necessary software to verify the tickets bought through Fienta's System at the venue.
5.3 Help desk and support. Fienta provides the Organiser support by email firstname.lastname@example.org and phone + 372 54 00 4526 on weekdays from 10:00 to 17:00. The Organiser should provide first line support to the ticket buyers. In case the Organiser is unable to answer the ticket buyers' questions or solve a problem independently, it shall refer the problem or question to Fienta.
Fienta mediates the tickets in the interests of the Organiser and is not responsible or liable for the terms of the conditions of sale, nor for any claims arising thereof. The Organiser shall be responsible for any and all claims.
6.1 Fienta sell tickets on behalf of and at the expense of the Organiser and on the instructions thereof. Fienta does not have any rights to establish or change the ticket prices or the Organiser's conditions of sale, including any rights to repurchase or replace tickets, or compensate for any lost, stolen, damaged or destroyed tickets or any other event-related item.
6.2 The rights and obligations relating to the tickets shall be established and notified by the Organiser; Fienta shall not be responsible for the content, amendment or performance of these rights and obligations.
6.3 Fienta is not the representative of the Organiser, a performer or any other person, responsible for the event, its content, information, advertising or quality. The Organiser shall be the responsible person.
6.4 Fienta shall not be obligated to compensate for or repurchase the tickets if an event is cancelled, postponed, or the location of an event is changed. The tickets shall be repurchased or compensated by the Organiser.
6.5 The Organiser or Fienta shall not be liable for breach of contract, to the extent caused by the extensive power outage or interruption of the internet.
